These Client Terms and Conditions (the “Terms”) constitute a binding legal agreement between you and PT GREEN GROW GROUP (Tax ID NPWP 40.114.418.3-903.000, registered office: By Pass Ngurah Rai No. 888XX, Pemogan, Denpasar Selatan, Kota Denpasar, Bali, Indonesia) (hereinafter referred to as “Neurotool”, “we”, “our”, or “us”), governing your access to and use of the website https://neurotool.ai (the “Website”) and the online and offline solutions provided by Neurotool in connection with the Website (the “Service”).
You represent and warrant that you have reached the age of majority in your jurisdiction and possess the legal capacity to enter into this agreement. If you are accepting these Terms on behalf of a legal entity, you represent and warrant that you have the requisite authority to bind such entity. In such cases, all references to “you” shall mean such legal entity.
BY CLICKING THE BUTTON LABELED “I HAVE READ AND AGREE TO THE NEUROTOOL TERMS OF USE” OR BY ACCESSING OR UTILIZING ANY PORTION OF THE SERVICE, YOU ACKNOWLEDGE YOUR ACCEPTANCE OF AND AGREEMENT TO BE BOUND BY THESE TERMS, WHICH NEUROTOOL MAY MODIFY AT ANY TIME.
In the event of any conflict between these Terms and other materials related to the Website or Service, these Terms shall prevail and govern.
1. DEFINITIONS
1.1 “Account” — your user account on the Website.
1.2 “Package” — a prepaid quantity of Content Orders purchased on the Website at the applicable Rate in effect at the time of purchase. Purchasing a Package credits your Account Balance.
1.3 “Balance” (or “Credits”) — the number of Content Orders available in your Account. One (1) Credit corresponds to one (1) Content Order.
1.4 “Content Order Request” — your request for the creation of a Content Order, submitted via the Website. Submitting a Request requires sufficient Credits in your Balance; the corresponding Credits are reserved for the Request until closure.
1.5 “Content Order” or “Order” — written content (articles, copywriting, product descriptions, and other forms of text content) prepared by us for you in accordance with an agreed Technical Specification.
1.6 “Technical Specification” or “Spec” — requirements for a Content Order as mutually agreed by the parties, including topic, keywords, length, structure, tone of voice, and target audience.
1.7 “Rate” — the pricing for Packages as published on the Website. Neurotool reserves the right to modify Rates at any time; such modifications shall not apply to previously purchased Packages.
1.8 “Average Credit Cost” — the total amount paid by you for all Packages purchased within your current Balance, divided by the total number of Credits acquired.
1.9 “Balance Validity Period” — one (1) year (365 calendar days) from the date of the most recent Balance replenishment. Upon expiration of this period, unused Credits shall be forfeited without the right of reinstatement and without monetary refund.
2. SERVICE
2.1 Description. The Neurotool Service is a platform for ordering written content created using a combination of artificial intelligence methods and human editorial refinement. Content Orders may include SEO and GEO optimization, keyword selection, and meta tags to the extent agreed upon in the Spec.
2.2 Service Modifications. Neurotool reserves the right to modify the Service provided that such modifications do not materially diminish the value to you.
2.3 Additional Services. Neurotool may offer separately paid services not included in Credits (expedited turnaround, expanded volume, detailed Spec preparation, content strategy).
2.4 Ownership Rights. Upon your compliance with these Terms and acceptance of a Content Order (including Automatic Acceptance), all rights to the Content Order shall transfer to you.
2.5 Availability. Neurotool shall make commercially reasonable efforts to ensure Service operation but shall not be liable for interruptions.
2.6 Account. You are responsible for password security and all actions performed under your Account.
2.7 License. Neurotool grants you a limited, revocable, non-exclusive license to use the Website and Service. You may not modify, decompile, or interfere with the operation of the Website.
3. BALANCE, RATES, AND VALIDITY PERIOD
3.1 Balance Replenishment. You replenish your Balance by purchasing Packages at the applicable Rate. Different Packages may have varying prices per Credit.
3.2 Rate Changes. Neurotool reserves the right to modify Rates at any time without notice. Such modifications shall not affect previously purchased Credits—their cost is fixed at the time of purchase.
3.3 Validity Period. Each replenishment renews the Balance Validity Period for all existing Credits. Upon expiration of the Validity Period, unused Credits shall be forfeited without monetary refund.
4. SERVICE DELIVERY, SUBMISSION, AND ACCEPTANCE
4.1 Spec Coordination. Following submission of a Request, the parties shall coordinate the Spec. Coordination is conducted via the Website, Website chat, email, or other mutually agreed method.
4.2 Credit Reservation. From the moment a Request is accepted for processing, the corresponding number of Credits is reserved for the Request in your Balance and remains reserved until Request closure. Credit deduction from the Balance occurs at the moment of Content Order acceptance in accordance with this section.
4.3 Completion Timeline. Indicative timelines are published on the Website and/or agreed upon within the Spec. Timelines are calculated from the moment of final Spec coordination and are approximate in nature.
4.4 Order Submission. The completed Content Order is placed in your Account on the Website with a status indicating readiness for review (hereinafter “Order Submission”). You are notified of Order Submission through the Website interface and/or by email.
4.5 Acceptance. Within seventy-two (72) hours from the moment of Order Submission, you must change the Content Order status in your Account on the Website—either accept it or send it for revision with specified corrections within the scope of the agreed Spec.
4.6 Automatic Acceptance. If within seventy-two (72) hours from the moment of Order Submission you have not changed its status, the Content Order shall be deemed automatically accepted. Upon acceptance (including Automatic Acceptance), the corresponding Credit is deducted from the Balance, the service with respect to the given Content Order is considered fully rendered, and the Credit becomes non-refundable.
4.7 Revisions. When sending a Content Order for revision within the scope of the agreed Spec, Neurotool shall perform the revision without limitation on the number of revision rounds. After each subsequent Order Submission, the period specified in section 4.5 (72 hours) begins anew.
4.8 Changes Beyond Spec Scope. Changes extending beyond the agreed Spec (different topic, alternative tone of voice, substantial restructuring or reconceptualization, expanded volume) shall be processed as a new Request and are subject to separate payment or deduction of additional Credits from the Balance.
4.9 Dispute Resolution. If after a reasonable number of revision rounds within the Spec framework the parties have not reached agreement on acceptance, Neurotool reserves the right to close the Request and release the reserved Credit back to the Balance while maintaining the Balance Validity Period. Credit restoration to the Balance is not equivalent to a monetary refund and does not expand the grounds for such refund beyond those specified in Section 6.
5. USER CONTENT
5.1 License to Your Content. By providing us with content (briefs, materials, links, company data), you grant Neurotool a non-exclusive, perpetual, irrevocable, worldwide license to use it for Service provision. You retain ownership of your content and warrant that you possess all necessary rights to it.
5.2 Moderation. Neurotool reserves the right to remove or edit content that is offensive, unlawful, or violates these Terms.
6. REFUNDS
6.1 Right to Refund. You may at any time during the Balance Validity Period request a refund for unused Credits. Requests are submitted to Neurotool’s contact email hello@neurotool.ai.
6.2 Non-Refundable Items:
- Credits deducted from the Balance upon Content Order acceptance (including Automatic Acceptance);
- Credits reserved for an active Request, until such Request is closed;
- Credits forfeited upon expiration of the Balance Validity Period;
- Payment for additional services not included in Credits (section 2.3).
6.3 Calculation. The refund amount is calculated as the number of unused Credits multiplied by the Average Credit Cost (section 1.8).
6.4 Banking Fees. Refunds are processed to the payer’s bank details (or other details as mutually agreed). All banking fees and payment system commissions associated with processing the refund are deducted from the refund amount. Neurotool is not responsible for receiving bank fees.
6.5 Timeline. Neurotool processes refund requests within ten (10) business days from the date of receipt. Actual crediting depends on the bank and payment system.
6.6 Refund Consequences. Following a refund, the corresponding Credits are deducted from the Balance.
7. ACCESS SUSPENSION AND TERMINATION
Neurotool reserves the right to suspend or terminate your access to the Website without prior notice in the event of your violation of these Terms or conduct that, in Neurotool’s opinion, is harmful to Neurotool. Neurotool shall not be liable for such suspension or termination.
You may close your Account at any time. Account closure does not deprive you of the right to a refund for unused Credits in accordance with Section 6, provided the Balance Validity Period has not expired.
8. PRIVACY
Neurotool respects user privacy. Please review the Privacy Policy at: https://neurotool.ai/privacy.
Internet use carries the risk of unauthorized access, and Neurotool cannot guarantee complete security of transmitted information.
9. DISCLAIMER OF WARRANTIES
CONTENT ORDERS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. NEUROTOOL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
Neurotool does not warrant the achievement of any specific results regarding SEO rankings, traffic, conversions, or other commercial metrics as a result of using Content Orders.
10. CODE OF CONDUCT
You agree to comply with the Client Code of Conduct (see below), which forms an integral part of these Terms.
11. INTELLECTUAL PROPERTY
All content on the Website is protected by intellectual property laws. You may not copy, distribute, or use others’ content without the copyright holder’s permission. Neurotool reserves the right to block Accounts for violations of third-party rights.
12. INDEMNIFICATION AND LIMITATION OF LIABILITY
12.1 You agree to defend and hold harmless Neurotool from any claims, damages, and expenses arising from your use of the Service or violation of these Terms.
12.2 Neurotool shall not be liable for indirect, incidental, special, or punitive damages, including lost profits and data loss.
12.3 Neurotool’s maximum aggregate liability for any claim shall not exceed the amount paid by you for the Service during the preceding six (6) months.
13. GENERAL PROVISIONS
13.1 Terms Modifications.
Neurotool reserves the right to modify these Terms at any time. Modifications become effective upon your next Website login or Balance replenishment. Continued use of the Service signifies acceptance of the revised version.
13.2 Governing Law.
These Terms are governed by the laws of the Republic of Indonesia. Disputes are subject to resolution in the courts located where Neurotool is registered (Denpasar City, Bali Province, Republic of Indonesia). You waive participation in class action lawsuits.
13.3 Resale Prohibition.
Resale, reproduction, or commercial use of the Service is prohibited except as agreed by Neurotool in writing.

13.5 Entire Agreement.
These Terms constitute the complete agreement between you and Neurotool and supersede all prior arrangements.
CLIENT CODE OF CONDUCT
The Client Code of Conduct forms an integral part of these Terms. You are prohibited from:
- attempting to hack or disrupt the Website’s operation;
- using Content Orders that have not been accepted and paid for in accordance with the established procedure;
- reselling the Service without a separate written agreement with Neurotool;
- posting offensive, defamatory, pornographic, racist, unlawful, or malicious content;
- using bots, scrapers, or other automated means to interact with the Website;
- distributing viruses and malicious software;
- violating applicable laws;
- providing false information during registration and payment;
- engaging in actions contrary to the spirit of these Terms.
